Terms and Conditions:

"Designathon" Competition

Idea Group (Pty) Ltd is running the "Designathon" Competition (the "Competition") on behalf of a "Client" at the University of Johannesburg ("UJ").

For purposes of this Competition, a qualifying Entrant is a natural person that is a student, either full-time or part-time at UJ ("Student") at the time of this Event.

All participants during the term of the Competition agree to be bound by the following Terms and Conditions:

Submissions

1. The Competition is open to all natural persons who qualify as Students during the term of the Competition, which runs 24 May 2019 until the date of final evaluation on 25 May 2019 (both dates inclusive).

2. All Ideas submitted to the Designathon become the Intellectual Property of the Client.

Teams

3. All ideas are required to be created and submitted as a team of 3 (three) to 7 (Seven) members in total. A maximum of 10 teams will qualify to participate.

4. Teams may not change once finalised by 20 May 2019.

5. Assistance will be provided by official facilitators, but assistance from non-competitor members and non-team members during the event are not permissible and will lead to disqualification.

6. Contestants travelling will be responsible for their own travel and accommodation costs.

Prizes

7. Prize money of R30 000 is allocated to the top team and will be paid within 7 working days via Electronic Transfer (EFT) to the winning team. The prize money will be divided equally between the team members.

Eligibility

8. Only entries received during the Competition period as stipulated in clause 1 above will qualify to participate. Participants has to apply for qualification of the Designathon challenge at https://idealabs.co.za.

9. Qualifying Ideas will be evaluated based on the Designathon judging criteria, and Idea Group or the Client may request further information about an Idea(s) in order to evaluate such Idea. The Clients decision to implement an Idea(s) is at the Clients sole discretion and will be final.

10. It is acknowledged that more than one team can generate the same and/or a similar Idea(s), however, the panel of Judges will review such ideas and based on the scorecard criteria select the winning team at the sole discretion of the judges.

11. To the best of your knowledge the Idea(s) must be your own or that created by your team. In addition to the existing Clients intellectual property policies, any Ideas submitted in the Competition become the intellectual property of the Client and you may not claim any ownership thereof as you agree to relinquish and cede all title in and to the Idea(s) to the Client.

12. Competitors can only be part of one team at the Event.

13. By participating in the Designathon each participant declares that each value proposition, brand, prototype or mock-up presented is an original work and in no way violates, in whole or in part, the intellectual or industrial property rights of others and releases the Client from any and all responsibility, liability, or request for compensation for damages that should be made by any third party.

14. The Client or Idea Group shall not be liable for any costs incurred by the winners for entering the Competition or in claiming any prizes, where applicable.

Non-Eligibility

15. The Designathon core team and staff working on the Event; Employees of the Client or Idea Group; anyone working on the Judging criteria that will be used for the Designathon; and any Judges working on the Event, are not eligible to enter the Competition.

Valid Entry

16. In order to stand a chance of winning in the Competition, -

16.1.1. Ideas must be submitted as a team;

16.1.2. Team members’ names need to be included in the application;

16.1.3. A team must consist of between 3 to 7 members;

16.1.4. Only under exceptional circumstances with the Designathon team increase the maximum team size;

16.1.5. Teams need to be finalised by midnight 20 May 2019;

16.1.6. Teams may not change once the Competition has begun.

17. Participants entering the Designathon authorise the Client and Idea Group to handle personal data and to make use of the video and other images produced during the Event.

18. Participants who fail to comply with the provisions of these T&Cs will be removed from the event, as will those who hinder and/or seek to compromise the proper functioning of the judging process or the outcome of the event as a whole by way of fraudulent or other prohibited conduct.

19. The Client and Idea Group, nor its affiliates bear no liability for any losses or damages of the participants in connection with the Designathon and the prizes except in cases of negligence or wilful intent.

20. In addition to the above, participants undertake to observe the following simple rules of conduct:

20.1. respect the other participants;

20.2. do not use expressions that incite violence or forms of discrimination, obscenity, or defamation;

20.3. avoid content that is offensive, vulgar, defamatory, or that violates privacy or is otherwise against applicable law, as well as advertising content or content that concerns political or religious views or other such ideologies;

20.4. avoid developing applications that are clearly off topic compared to the assigned challenge;

20.5. do not violate copyrights, trademarks, or other such rights;

20.6. observe data-protection legislation;

20.7. do not receive outside assistance by way of e-mail or other forms of messaging.

21. Whilst every effort will be made to ensure that your Ideas will be duly received and evaluated, the Client does not warrant that your Ideas will be implemented and/or used in any form whatsoever. The Client reserves the right to implement any Idea(s). To the extent that the Client decides to use and/or implement an Idea(s), the Client reserves to choose the date on which the Idea(s) is implemented at its discretion. To the extent that the Client decides to use and/or implement your Ideas in any form, you hereby authorize the Client to use and/or implement any or all of your Ideas to such extent as the Client’s sole discretion may determine.

22. The Client has the rights to use and/or implement any of the Ideas (value proposition, brand or prototype) under the Designathon, in any form whatsoever.

23. You warrant that the Ideas are your own, and that by using and/or implementing your Ideas the Client will not be infringing on the rights of any person (natural or legal). You indemnify and hold the Client harmless against all and any loss, liability, actions, suites, proceedings, costs, demands and damages of all and every kind, (including direct, indirect, special or consequential damages), and whether in an action based on contract, negligence or any other action, arising out of or in connection with a breach of the aforesaid warranty.

24. You hereby agree and acknowledge that the Client, its officers, employees and/or agents shall, in any circumstances whatsoever, be liable to you and/or to any third party whomsoever for any loss of or damage suffered as a result of your participation in the Designathon, without in any way limiting or affecting the generality of the foregoing, whether or not such loss or damage, is occasioned by the fault or negligence of the Client, its officers, employees and/or agents, and you hereby indemnify both the Client, Idea Group, its officers, employees and/or agents, against any claim of whatsoever nature which may be made against the Client, its officers, employees and/or agents by you and/or any third party whomsoever for any loss or damage suffered by you and/or any third party whomsoever as a result of your participation in the Program, notwithstanding that such loss, damage, injury or death may have been occasioned by the fault or negligence of the Client, Idea Group and/or any of the parties referred to above.

Prize Draw

25. The winner of the Designathon will be announced after finalists have presented their value proposition, brand and prototypes to a panel of judges on the final day of the Designathon. The decisions are final and no correspondence will be entered into. Winner Validation

26. All the information provided or related to this Competition shall be managed, captured and approved by Idea Group and the Client.

27. The judges’ decision on any aspect of the Competition including the allocation of the prizes will be final and binding and no correspondence will be entered into.

28. In the event of a dispute in regard to any aspect of the Competition and/or the Terms and Conditions, Idea Group’s decision will be final and binding and no correspondence will be entered into.

29. The Client and Idea Group may refuse to award a prize if entry procedures or these Terms and Conditions have not been adhered to or if it detects any irregularities or fraudulent practices. The Client and Idea Group is entitled in its entire discretion to reject any participant for any reason and will not be obliged to notify participants that they are rejected.

General

30. The Client, Idea Group and/or any other person or party associated with the Competition, their associated companies, agents, contractors and sponsors and any of its personnel involved in the Competition, shall not be liable whatsoever for any loss or damage incurred or suffered (including but not limited to direct or indirect or consequential loss), death or personal injury suffered or sustained arising from either participation in the Competition or from claiming the prize.

31. The Client and Idea Group is not liable for any technical failures affecting participation during the Designaton event that impacts the teams participation and final delivery. In addition, neither the Client, Idea Group nor its agents shall be responsible for any loss or misdirected entries, including entries that were not received due to any failure of hardware, software, or other computer or technical systems affecting participating in and/or the prize redemption process of the Competition.

32. The Client and Idea Group, its directors, employees, agents and distributors, are not responsible for any misrepresentation (whether written or verbal) in respect of any prize nor in respect of any warranties, guarantees or undertakings given by any person other than the Client or Idea Group itself.

33. If the Client or Idea Group is required by law to alter or cancel any aspect of the Competition or to terminate it as a result of changes in legislation, or for any reason whatsoever, it will have the right to terminate the Competition being offered, with immediate effect and without notice. In such event all entrants hereby waive any rights which they may have against the Client, Idea Group and its associated companies, agents, contractors and/or sponsors.

34. All information relating to the Competition which is published on any marketing material will form part of these Terms and Conditions. In the event of any conflict between such marketing material and these Terms and Conditions, these Terms and Conditions shall prevail.

35. The Client and Idea Group reserves the right to amend the Terms & Conditions below at their sole discretion, without prior communication.
